Internet Service Agreement

Read This Internet Service Agreement Carefully before Using Our Internet Services.

Terms of Use

Introduction

Sandstone Solutions Ltd. ("Sandstone Solutions™") provides its Internet services, as they may exist from time to time ("Services"), to users who pay a monthly, or yearly, service fee to subscribe to the Services ("Members") as well as to those who access some of our Services but do not have accounts ("Visitors"). By establishing an account or using the Services, you agree to be bound by this Agreement and to use the Services in compliance with this Agreement, our Acceptable Use Policy and other policies.

If you do not agree to the terms and conditions of this Agreement, including any future revisions, you may not use the Services and if you are a current Member, you must terminate your use of the Services, as indicated, under Termination.

Subscription Requirements

Members must be at least 18 years old. Local access dial-up numbers may not be available in all areas. You are solely responsible for determining if use of a particular dial-up number will cause you to incur long-distance, toll, or other charges. Sandstone Solutions™ is not responsible for any long-distance, toll or other telecommunications charges you incur. Toll-free (800 #), international, and simultaneous login access may cost extra. Current prices for Sandstone Solutions™ Services are posted throughout our website at www.sandstonesolutions.com. These rates may also be obtained by calling (403) 912-2081. Sandstone Solutions™ reserves the right to change prices and institute new fees at any time upon 30 days prior notice, for monthly services; for yearly subscriptions will have a 90 day renewal notice.

Payment Obligations Of A Member
  1. Members must:
    1. Provide Sandstone Solutions™ with accurate and complete billing information including legal name, address, telephone number, and billing information.
    2. Report to Sandstone Solutions™ all changes to this information within thirty (30) days of the change. Members are responsible for any charges to their account.

    3. Members having questions regarding charges to their account should contact Sandstone Solutions™ Customer Service Department at (403) 912-2081, or account.mgr@sandstonesolutions.com. All charges are considered valid unless disputed in writing within sixty (60) days of the billing date. Adjustments will not be made for charges that are more than 60 days old.
  2. Yearly service fee is mailed out at the beginning of the subscription year and can be paid by money order, cheque, or certified cheque.

    Sandstone Solutions™ is not responsible for any charges for NSF cheques. Any NSF cheques will result in a $20.00 handling fee, and will require any further cheques to be certified. Payments are due within 30 days after the first month, in which the charges are incurred, for the yearly subscription, and within 30 days after the month for all other services.

  4. If you purchase Services through a reseller who in turns pays Sandstone Solutions™, the reseller must pay all amounts owing for your account. If the reseller fails to pay Sandstone Solutions™ any amounts due whether or not you have paid the reseller your account will be subject to suspension or cancellation until you or the reseller has paid all amounts due.
  5. Delinquent accounts may be suspended or canceled at Sandstone Solutions™ sole discretion. Sandstone Solutions™ may bill an additional charge to reinstate a suspended account.
Member's Account, Password, And Security

Upon registration, Members receive a username, password, and account designation. You and members of your household or business, if you have purchased a business account, are the only authorized users of your Sandstone Solutions™ account and must comply with this Agreement. You must keep your password confidential so that no one else may access the Services through your account. You must notify Sandstone Solutions™ immediately upon discovering any unauthorized use of your account.

Members agree not to use any automatic method to avoid inactivity disconnect or to otherwise maintain a connection unless actively using it. Members agree not to provide any public information services over a dial-up connection.

Sandstone Solutions™ may change its POP numbers at any time. Sandstone Solutions™ reserves the right to direct Members to use certain numbers to access the Service or to restrict use of specific access numbers. Usernames, passwords and email addresses are Sandstone Solutions™ property and Sandstone Solutions™ may alter or replace them at any time.

Monitoring The Services

Sandstone Solutions™ has no obligation to monitor the Services, but may do so and disclose information regarding use of the Services for any reason if Sandstone Solutions™, in its sole discretion, believes that it is reasonable to do so, including to: satisfy laws, regulations, or governmental or legal requests; operate the Services properly; or protect itself and its Members. Please see our Privacy Policy. Sandstone Solutions™ may immediately remove your material or information from Sandstone Solutions™ servers, in whole or in part, which Sandstone Solutions™, in its sole and absolute discretion, determines to infringe another property rights or to violate our Acceptable Use Policy.

Website Usage

Our site on the World Wide Web with its home pages in the domain sandstonesolutions.com, sandstone.ab.ca, or any other site operated by Sandstone Solutions™ (the "website") is a complimentary information service offered by Sandstone Solutions™ at no charge to users.

We may provide links on the website to other websites, which are not under our control. In general, any website that has an address (or URL) which does not contain sandstonesolutions.com, sandstone.ab.ca, is such a website. These links are provided for convenience only and are not intended as an endorsement by Sandstone Solutions™ of the organization or individual operating the website or a warranty of any type regarding the website or the information on the website.

You may provide a hypertext link to our website on another website, provided that:

  1. The link must be clearly marked "Sandstone Solutions™".
  2. The link must "point" to the URL www.sandstonesolutions.com, and not to any other pages within the website.
  3. The appearance, position and other aspects of the link may not be such as to damage or dilute the goodwill associated with our name and trademark(s).
  4. The appearance, position and other aspects of the link may not create the false appearance that an entity is associated with or sponsored by Sandstone Solutions™.

Some portions of the website are made available for the free exchange of ideas by participants and are not regularly monitored nor moderated by Sandstone Solutions™. Sandstone Solutions™ assumes no responsibility and makes no warranty that it will undertake to screen or remove such material. You agree to hold Sandstone Solutions™ harmless from all claims based upon the materials posted by others. Also, in exchange for availing yourself of the opportunity to upload or provide information to this site and any associated chat rooms or discussion areas, you will indemnify Sandstone Solutions™ from any claims made by third parties regarding the material that you provide. Personal information posted by you to the website is posted at your own risk. Sandstone Solutions™ will have no liability arising from use of that information. You shall not use the website to distribute or publish any advertising of goods or services, solicitations for funds, or other commercial messages. The Sandstone Solutions™ Services Help Desk will provide telephone assistance on a reasonable effort basis, via the telephone number: (403) 912-2081, and during the hours specified on the Sandstone Solutions™ website. Assistance is limited to your problems using the Sandstone Solutions™ Services. Sandstone Solutions™ cannot guarantee the resolution of any particular problem, or Sandstone Solutions™ Services interruption.

Term Of Agreement

Continued use of the Services constitutes acceptance of this Agreement and any future versions. If you are dissatisfied with the Services or any related terms, conditions, rules, policies, guidelines, or practices, your sole and exclusive remedy is to discontinue using the Services and, if you are a Member, to terminate your account.

Termination

You may terminate your account at any time and for any reason by providing notice of intent to terminate to Sandstone Solutions™ by:

Email cancellation requests will be accepted, only upon receipt of a cancellation confirmation number from Sandstone Solutions™, attention: account.mgr@sandstonesolutions.com

Your termination will only be complete upon your receipt of a cancellation confirmation number from Sandstone Solutions™. Charges to your account will stop accruing the day Sandstone Solutions™ provides you with a cancellation confirmation number. Based on your billing cycle, charges accrued prior to your termination may apply after you receive a cancellation confirmation. If your account included space on Sandstone Solutions™ servers, anything stored on this space will be deleted upon termination.

Without prior notice, Sandstone Solutions™ may terminate this Agreement, your password, your account, or your use of the Services, for any reason, including, without limitation, if Sandstone Solutions™, in its sole discretion, believes you have violated this Agreement, our Acceptable Use Policy, or any of the applicable user policies, or if you fail to pay any charges when due. Sandstone Solutions™ may provide termination notice to you by:

All notices to you shall be deemed effective on the first (1st) calendar day following the date of electronic mailing or on the fourth (4th) calendar day following the date of first-class mailing or deposit with a commercial courier service.

Liabilities And Warranties

Sandstone Solutions™ MAKES NO WARRANTIES, EXPRESS OR IMPLIED. NO REPRESENTATIONS, OR STATEMENTS NOT EXPRESSLY SET FORTH HEREIN SHALL BE BINDING UPON Sandstone Solutions™ AS A WARRANTY OR OTHERWISE.

These terms and conditions may be amended by Sandstone Solutions™ at any time by posting the revised version on our website. Sandstone Solutions™ may from time to time provide information and updates to the User via email regarding the service and the User expressly consents to receive such periodic information acknowledging that such information is being sent by Sandstone Solutions™ for the benefit of the User and its service.

Any discretion, option, decision, or opinion by Sandstone Solutions™ shall be sufficiently exercised or formed if exercised or formed by or subsequently ratified by Sandstone Solutions™ system administrator or any other person or persons designated by Sandstone Solutions™ directors.

Sandstone Solutions™ accounts may not be resold, or transferred to any third party. All fees are not fully refundable.

Notwithstanding any other provision of this agreement, in no event shall Sandstone Solutions™, their respective officers, directors, agents, employees, suppliers, resellers, and distributors (collectively, the "Sandstone Solutions™ entities" and each, a "Sandstone Solutions™ entity") be liable for any direct, indirect, special, incidental, consequential or punitive damages, or any other damages or losses whatsoever, including without limitation damages for loss of profits, goodwill, opportunity, earnings, use of data, arising directly, or indirectly, from, or related to, this agreement or the Sandstone Solutions™ services, regardless of the cause of action and even if one or more of the Sandstone Solutions™ entities have been advised of the possibility of such damages or losses, including but not limited to damages or losses arising from or in any way related to the following:

  1. The performance of the internet;
  2. The content or accuracy of any material, information or data (including without limitation any software) viewed, downloaded, accessed or transmitted over or through the internet or the Sandstone Solutions™ services, including without limitation material which infringes the rights of others or otherwise violates laws or regulations;
  3. The viewing, downloading, transmitting, accessing, purchasing or by any other means acquiring any information, material, product or service accessible through the internet or the Sandstone Solutions™ services;
  4. Delays, errors, interruptions, mistakes, omissions, non-delivery, incorrect delivery, viruses or defects in the transmission of any information, material or data over or through Sandstone Solutions™ systems or networks or the systems or networks of third parties; and
  5. Installation or maintenance of the Sandstone Solutions™ services, by you, Sandstone Solutions™ or third parties.
Indemnity

You agree to indemnify and hold harmless each of the Sandstone Solutions™ Entities from all demands, claims, awards, actions, proceedings, damages, losses, costs, charges and expenses, including legal fees, incurred by or made against the applicable Sandstone Solutions™ Entity, which result from or relate to:

  1. access to or use, by you or any third party, of your Sandstone Solutions™ account; or
  2. any of your acts or omissions, including without limitation breach or non-performance of this Agreement and any violation of third party rights.
Miscellaneous

This Agreement, the Acceptable Use Policy, the Privacy Policy, and Sandstone Solutions™ other user policies posted on Sandstone Solutions™ website constitute the entire agreement between you and Sandstone Solutions™ with respect to your use of the Services.

Sandstone Solutions™ may revise, amend, or modify this Agreement, the Acceptable Use Policy and any other user policies and agreements, at any time and in any manner. Notice of any revision, amendment, or modification will be posted on Sandstone Solutions website and/or on Member's start pages and/or by email and/or in our various publications and mailings to Members.

Agreement of Conditions

The User accepts the above conditions when contract is negotiated.
